The terms and conditions (T&Cs) of a digital marketing agency outline the legal agreement between DigiMavel and its clients. These T&Cs protect both parties by defining their rights, responsibilities, and expectations. Here are some common elements you might find in the terms and conditions of a digital marketing agency:
Scope of Services
Digi Mavel Clearly defines the services the agency will provide. This will include details about the scope, objectives, and deliverables of the digital marketing campaigns or projects which will be mentioned in Agreement.
Payment Terms
Outline the pricing structure, payment methods, and any required upfront fees or retainer payments. Specify the billing cycle and deadlines for payment will be according to our Agreement with Client.
Term and Termination
Define the duration of the contract and the conditions under which either party can terminate the agreement. Include notice periods, penalties for early termination, and procedures for ending the contract.
Intellectual Property
Clarify the ownership of creative assets, content, and intellectual property produced during the engagement as per agreement. Specify whether the client will have exclusive rights to these assets.
Confidentiality
Confidential information shared between DigIMavel and the client will be handled and protected. This is particularly important when dealing with proprietary data or trade secrets. The clause establishes a duty of non-disclosure, meaning that both parties agree not to reveal or share any confidential information with third parties without prior consent.
Data Protection and Privacy
DigiMavel will Ensure compliance with data protection regulations (e.g., GDPR) and specify how client data will be handled, stored, and protected according to our Agreement between Client and Digimavel.
Reporting and Analytics
Our services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that our services will be uninterrupted, secure, or error-free.
Responsibilities of the Client
Clearly state the client’s obligations, such as providing access to necessary data, timely feedback, and approvals as per our Contract or Agreement.
Liability and Indemnification
Specify the limits of liability for both the Digi Mavel and the client. Any disputes and claims will be resolved and whether either party is responsible for indemnifying the other.
Force Majeure
Unforeseen circumstances or events beyond either party’s control that may affect the ability to perform under the contract.
Governing Law
Indicate the jurisdiction and laws that will govern the contract and any legal disputes that may arise. Any Legal case will be filed in the Jurisdiction of Delhi High Court.
Amendments and Changes
DigiMavel will describe the process for making changes to the agreement, including changes to the scope of work, pricing, or other terms as per our agreement.
Non-Compete Clause
Any restrictions on the DiGimavel’s ability to work with competitors or similar businesses during or after the engagement as per Agreement.
Subcontracting
If the DigiMavel plans to use subcontractors or third-party services, specify this in the T&Cs and describe how it may impact the client’s project.
Notices
Outline the procedures for giving formal notices and communications between the Digi Mavel and the client through E- Mails & Mail.
Review and Acceptance
The client can accept the terms and conditions, typically through a signature or electronic acceptance process.
